1. Parties and Agreement

1.1 These Terms of Service ("Terms") constitute a legally binding contract between you ("User," "you") and Yassine Rajallah, operating as a sole proprietor under German law ("BlazeHive," "we," "us," "our"), regarding your access to and use of the BlazeHive service and related software (the "Service").

1.2 These Terms constitute General Terms and Conditions (Allgemeine Geschäftsbedingungen, "AGB") within the meaning of §§ 305 et seq. of the German Civil Code (Bürgerliches Gesetzbuch, "BGB"). They are incorporated into every contract concluded through the Service.

1.3 The Service is available to both consumers (Verbraucher, § 13 BGB - natural persons acting for purposes outside their trade or profession) and businesses (Unternehmer, § 14 BGB). Where provisions differ between the two groups, this is indicated explicitly.

1.4 By registering an account, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not create an account or use the Service.


2. Amendments to These Terms

2.1 We may amend these Terms to reflect changes in law, our services, or our business. We will notify you of any proposed amendments by email at least 30 days before they take effect.

2.2 If you do not object in writing within 30 days of receiving notice, the amended Terms are deemed accepted. If you do object, you may terminate your account with effect from the date the new Terms would take effect.

2.3 We will explicitly draw your attention to this objection right and the consequences of silence in the amendment notice.

2.4 Amendments that are exclusively beneficial to you (such as service expansions) or that are required by law may be made without the notice period above.


3. Eligibility

3.1 You must be at least 18 years of age to use the Service.

3.2 If you are entering into these Terms on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" refers to that entity.

3.3 You represent that your use of the Service will comply with all applicable laws and regulations.


4. Description of Service

4.1 BlazeHive provides a subscription-based automated content generation and publishing service. Specific features available at any time are described on our website at blazehive.io.

4.2 We reserve the right to modify, expand, or reduce the features of the Service. For material reductions in features that materially impair the agreed-upon service for paying subscribers, we will provide at least 30 days' advance notice and you may terminate your subscription without penalty during that notice period.

4.3 We aim for high availability but do not guarantee uninterrupted service. We will use commercially reasonable efforts to minimize downtime and communicate planned maintenance in advance.


5. Registration and Account Security

5.1 You must provide accurate and complete information when registering.

5.2 You are responsible for maintaining the confidentiality of your login credentials. You are liable for all activity conducted through your account.

5.3 You must notify us immediately at contact@blazehive.io if you suspect unauthorized access to your account.

5.4 We reserve the right to require password resets or temporarily suspend accounts where we suspect a security breach.


6. Subscription, Fees, and Payment

6.1 Subscription Model

The Service operates on a recurring subscription basis. Fees are billed in advance for each billing period (monthly or annual, as selected at purchase). The applicable fees are displayed at checkout and at blazehive.io/pricing.

6.2 Auto-Renewal

Important: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You will receive a reminder email at least 7 days before renewal. You may cancel at any time through your account settings.

6.3 Price Changes

We may change subscription prices. For existing subscribers, any price increase will be communicated by email at least 30 days in advance and will take effect at your next renewal following that notice period. If you do not accept the new price, you may cancel your subscription before the renewal date without penalty.

6.4 Payment

Payments are processed by our third-party payment processor. We do not store full card details. By providing payment information, you authorize us to charge the applicable fees on a recurring basis until cancellation.

6.5 Failed Payments

If a payment fails, we will attempt to retry and notify you. If the issue is not resolved within 7 days, we may suspend your account until payment is received.

6.6 Taxes

Prices are shown exclusive of VAT where applicable. German VAT (Mehrwertsteuer) will be added where legally required. Business customers in other EU member states who provide a valid VAT ID will be invoiced under the reverse charge mechanism.


7. Right of Withdrawal (Consumers Only)

Consumers (persons acting outside their trade or profession) have the following right of withdrawal:

Right of Withdrawal

You have the right to withdraw from this contract within 14 days without giving any reason.

The withdrawal period expires 14 days from the day the contract is concluded.

To exercise the right of withdrawal, you must inform us:

by means of a clear statement (e.g., a letter sent by post or email) of your decision to withdraw. You may use the model withdrawal form below, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your right of withdrawal before the withdrawal period has expired.

Effects of Withdrawal: If you withdraw from this contract, we shall reimburse payments for undelivered service components without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw, using the same means of payment you used for the initial transaction.

Request for Early Commencement and Acknowledgment (§ 356(5) BGB)

By accepting these Terms and completing a subscription purchase, you expressly request that BlazeHive begin providing the Service - including site analysis, keyword research, competitor research, content strategy generation, and ongoing content generation - immediately upon payment, before the 14-day withdrawal period has expired.

You acknowledge and agree that:

(a) once a service component has been fully delivered (including but not limited to: site analysis, keyword research, content strategy, and each individual content page generated and made available to you), that component constitutes a fully performed digital service and your right of withdrawal lapses with respect to that component (§ 356(5) BGB);

(b) if you withdraw within the 14-day period, you will be charged a proportionate amount for all service components already delivered at the time of withdrawal, and only undelivered components will be refunded; and

(c) if the entire contracted Service has been fully performed before the end of the 14-day period, your right of withdrawal lapses entirely upon such full performance.

This acknowledgment is recorded upon account creation and subscription purchase.

8. Refund Policy

8.1 Consumers - no early commencement: If you exercise your statutory right of withdrawal within 14 days and have not requested early commencement, you will receive a full refund.

8.2 Consumers - early commencement (standard case): The Service begins immediately upon subscription, which includes site analysis, keyword research, competitor research, content strategy generation, and ongoing content generation. If you expressly requested early commencement at checkout and acknowledged the consequences, and the Service has been partially or fully provided, we will calculate a proportionate charge based on the value of service components already delivered. Delivered components are non-refundable; only undelivered components are eligible for refund.

For the avoidance of doubt: strategy and onboarding components (site analysis, keyword research, content plan) are delivered within the first days of the subscription and constitute a distinct, immediately-completed deliverable. These are non-refundable once delivered, regardless of when within the billing period a withdrawal is requested.

8.3 Business customers: No statutory right of withdrawal applies. Fees are non-refundable once a billing period has begun, except where we have materially failed to deliver the Service or as required by law.

8.4 In all cases, refunds are processed within 14 days using the original payment method.


9. Intellectual Property

9.1 BlazeHive's IP

The Service, including its software, interface, design, trademarks, and documentation, is owned by or licensed to BlazeHive and protected by German and international intellectual property law. You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription solely for your own internal business purposes.

You may not: copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works of the Service.

9.2 Your Content and Ownership

You retain full ownership of all content generated by the Service based on your inputs ("Generated Content"). BlazeHive claims no intellectual property rights over Generated Content.

9.3 License Grant to Operate

You grant BlazeHive a limited, non-exclusive, worldwide, royalty-free license to process your inputs and publish Generated Content to platforms you designate, solely for the purpose of providing the Service to you. This license terminates when you cancel your account or revoke the relevant integration.

9.4 Input Warranties

By submitting content or URLs to the Service, you represent and warrant that you have all necessary rights to do so and that your inputs do not infringe any third-party intellectual property rights.


10. AI-Generated Content - Your Responsibilities

10.1 The Service uses AI systems to generate content. AI output may contain inaccuracies, omissions, or unintended content. You are solely responsible for reviewing, editing, and approving all Generated Content before it is published.

10.2 You are responsible for ensuring that all published content complies with: applicable law in your jurisdiction, copyright and trademark law, advertising and consumer protection regulations, platform policies of any third-party service where content is published, and any applicable industry regulations.

10.3 BlazeHive is not liable for any claim, loss, or damage arising from content you publish, including claims of copyright infringement, defamation, or regulatory violation.

10.4 The Service uses AI systems subject to the EU AI Act (Regulation (EU) 2024/1689). None of the AI systems used are classified as high-risk under that regulation.


11. Third-Party Integrations

11.1 The Service allows you to connect third-party platforms. By connecting a platform, you authorize BlazeHive to access and operate that platform on your behalf using credentials you provide.

11.2 You are responsible for ensuring that your use of third-party platforms through the Service complies with those platforms' own terms of service.

11.3 BlazeHive is not responsible for the availability, functionality, or actions of any third-party platform.

11.4 You are responsible for maintaining valid credentials for connected integrations. BlazeHive is not liable for content not published due to expired, revoked, or invalid credentials.

11.5 You may revoke any integration at any time through account settings, whereupon we will immediately cease accessing that platform and delete the associated credentials.


12. Acceptable Use

You agree not to use the Service to:

12.1 Generate, publish, or distribute content that is unlawful, defamatory, fraudulent, obscene, or that infringes any third-party intellectual property, privacy, or personality rights;

12.2 Generate or publish spam, unsolicited commercial communications, misleading content, or disinformation;

12.3 Circumvent, disable, or interfere with any security, access control, or rate-limiting feature of the Service;

12.4 Attempt to gain unauthorized access to any portion of the Service, our infrastructure, or another user's account;

12.5 Use the Service to develop a product or service that competes with BlazeHive, or to extract its structure or methodology for commercial use by a third party;

12.6 Misrepresent your identity, affiliation, or authorization;

12.7 Use the Service in a way that causes excessive load, disrupts availability for other users, or violates any applicable law.


13. Disclaimer of Warranties

13.1 The Service is provided in the state that is technically and functionally possible at the time of provision. We will remedy material defects within a reasonable time after notification.

13.2 We do not warrant that: the Service will be error-free or uninterrupted; Generated Content will be accurate, original, or suitable for any particular purpose; specific results (such as search rankings) will be achieved; the Service will meet any requirements not expressly stated in these Terms.

13.3 Statutory warranty rights of consumers are not affected by this section.


14. Limitation of Liability

14.1 Unlimited liability: BlazeHive is fully liable without limitation for damages arising from: (a) intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit) by us or our legal representatives or agents; (b) injury to life, body, or health; (c) a guarantee (Garantie) given by us; (d) mandatory liability under applicable law including the German Product Liability Act (Produkthaftungsgesetz).

14.2 Limited liability for simple negligence: For damages caused by simple negligence (einfache Fahrlässigkeit), we are only liable for breach of a material contractual obligation (Kardinalpflicht) - an obligation whose fulfillment is essential to the proper performance of the contract and on whose compliance you may regularly rely. In such cases, our liability is limited to damages that were foreseeable and typical at the time of contract conclusion.

14.3 Exclusion for other simple negligence: For simple negligence in relation to non-material contractual obligations, and for indirect losses (lost profits, consequential damages, loss of data beyond the cost of recovery from a recent backup), liability is excluded.

14.4 Cap: Subject to Sections 14.1 and 14.2, our total aggregate liability per contract year shall not exceed the total fees paid by you to BlazeHive in the twelve (12) months preceding the event giving rise to the claim.

14.5 Consumer notice: Nothing in this Section limits your statutory rights as a consumer, including under §§ 434 et seq. BGB or the EU Consumer Rights Directive.

14.6 The limitations in this Section also apply in favor of our employees, agents, and sub-contractors.


15. Indemnification (Business Customers Only)

If you are a business customer (Unternehmer), you agree to indemnify and hold harmless BlazeHive and Yassine Rajallah from and against any third-party claims, damages, penalties, and costs (including reasonable legal fees) arising from: (a) your material breach of these Terms; (b) content you publish through the Service; (c) your infringement of any third-party intellectual property or other rights.

This indemnification obligation does not apply to consumers.


16. Data Processing

16.1 Our processing of your personal data is governed by our Privacy Policy (available at blazehive.io/privacy-policy), which is incorporated into these Terms by reference.

16.2 Business customers (Art. 28 GDPR): Where you use the Service in a professional capacity and the Service processes personal data of your end users or customers, you act as controller and BlazeHive acts as processor. In this case, the parties must execute a Data Processing Agreement (DPA) per Art. 28 GDPR. Contact contact@blazehive.io to request a DPA. Use of the Service by business customers without a required DPA is at the customer's own compliance risk.


17. Termination and Suspension

17.1 By you: You may cancel your subscription at any time via account settings. Cancellation takes effect at the end of the current paid billing period. No pro-rated refunds are issued for unused time unless required by Section 8 or applicable law.

17.2 By us - with notice: We may terminate your account with 30 days' notice. In this case, we will refund any prepaid subscription fees on a pro-rated basis for the unused portion.

17.3 By us - immediately: We may suspend or terminate your account immediately and without notice if: (a) you materially breach these Terms and fail to remedy the breach within 7 days of written notice (where the breach is capable of remedy); (b) the breach is not capable of remedy; (c) you are subject to insolvency proceedings; (d) immediate action is required to protect the Service, other users, or third parties; or (e) required by law.

17.4 Effect of termination: Upon termination, your license to use the Service ends immediately. We will retain and delete your data in accordance with our Privacy Policy. Sections 9, 10, 14, 15, 18, and 19 survive termination.


18. Dispute Resolution

18.1 EU Online Dispute Resolution: The European Commission provides an Online Dispute Resolution (ODR) platform for resolving disputes out-of-court: https://ec.europa.eu/consumers/odr. Our email address for this platform is: contact@blazehive.io. We are not obligated to participate in ADR proceedings and do not currently participate in any particular ADR scheme, but we encourage you to contact us first.

18.2 Informal resolution: We ask that before initiating any formal proceedings you contact us at contact@blazehive.io to attempt informal resolution. We will respond within 14 days.

18.3 Governing law: These Terms and any contract concluded under them are governed by the laws of the Federal Republic of Germany, excluding its conflict of law rules and excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

18.4 Jurisdiction - business customers: For disputes with business customers, the exclusive place of jurisdiction is Berlin, Germany.

18.5 Jurisdiction - consumers: For disputes with consumers, the statutory rules on jurisdiction apply. This means consumers may bring proceedings in the courts of their place of domicile, and we may only bring proceedings against consumers in the courts of their place of domicile. The exclusive jurisdiction clause in 18.4 does not restrict any mandatory consumer rights.


19. Miscellaneous

19.1 Severability (§ 306 BGB): If any provision of these Terms is void or unenforceable, it will be replaced by the applicable statutory provision (§ 306(2) BGB). The remaining Terms remain in full force. A void provision shall not render the entire contract void.

19.2 Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between the parties regarding the Service, superseding all prior discussions and representations.

19.3 No Waiver: Failure to enforce any provision of these Terms on one occasion shall not constitute a waiver of the right to enforce it on any other occasion.

19.4 Assignment: We may assign our rights and obligations under these Terms to a successor entity. You will be notified if this occurs. You may not assign your rights under these Terms without our prior written consent.

19.5 Force Majeure: Neither party is liable for delay or failure to perform caused by circumstances beyond their reasonable control, including but not limited to: natural disasters, acts of government, war, civil unrest, pandemic, telecommunications infrastructure failures, or third-party service outages - provided the affected party promptly notifies the other and uses reasonable efforts to mitigate the impact.

19.6 Written form: Notices required or permitted under these Terms must be given in writing by email to contact@blazehive.io (for notices to us) or to the email address associated with your account (for notices to you).

19.7 Language: These Terms are provided in English. In the event of any conflict between an English version and any translation, the English version prevails.
